By creating an account and signing up, you acknowledge and agree to the following Terms and Conditions.
This success fee agreement is entered into between the Parties in good faith. GFOIS operates and hosts an international event series “The Event” and Participant wishes to engage with that event for the purpose of promotion, branding and the possibility of receiving investment.
As a result, The Parties enter into this Agreement to establish how such a relationship shall be formed and managed with respect to any investment or income that is received by Participant by or through their participation in the event series.
This Agreement and the terms contained within replaces and repeals any and all prior agreements as made between The Parties. This Agreement forms the whole agreement between The Parties and nothing done outside of this Agreement shall constitute the formation of any additional or an amendment to the terms.
The Success fee “Success fee” shall occur any situation where, through their participation in any event hosted, run, or managed by GFOIS the Participant secures investment or other income into their project or for themselves personally.
The Success fee shall be payable in the following instances, including but not limited to; any transaction investment, or business arrangement resulting from any party or person that was made, created, or established at any time during or following the Summit, regardless of the closing date.
For the avoidance of doubt the Success fee shall be payable in the instance that the Participant generates any income, financing, investment, or other income into their company (including themselves personally) as a result of any connection, interaction or introduction that is made or achieved as a result of the event.
Such a success fee shall also be payable if the Participant secures any investment, funding, or income into any project, company, group, or start-up that they are part of either in an official capacity or not at the event.
The Participant shall do nothing to attempt to circumvent this Success Fee Agreement including, but not limited to, taking steps which would remove GFOIS to receive any fees. Including, taking steps to avoid direct communication and effecting a secondary introduction to a third party wherein their company, project, start-up or group benefits from such a continued introduction.
This Success Fee Arrangement sets out the terms under which GFOIS will receive a success-based fee from the Client for any investment funding, partnership, or commercial business generated as a result of introductions, meetings, or relationships facilitated through participation in The Event.
Fee Structure: GFOIS shall be entitled to a 5% success fee on any investment funding secured by the Client that arises directly or indirectly* from introductions, meetings, or opportunities created through the Summit - such as organic conversations.
Without waiving the foregoing definitions, the scope can also be defined as: The success fee applies to any transaction, investment, or business arrangement resulting from investor or partner connections made during or following the Summit, regardless of the closing date.
The Participant shall be responsible for keeping GFOIS and its representative updated to any potential event that will trigger a success fee and further notify them of any success fee falling due.
Payment shall be made within 10 days by the Participant in the event that a success fee falls due.
At the request of GFOIS, the Participant shall provide a written summary and supporting evidence of related business for verification before payment.
Payments shall be made via bank transfer unless otherwise mutually agreed in writing.
This Agreement remains in effect until terminated by either Party with 30 days written notice.
Termination shall not affect any payments due in respect of sponsorships or business referred prior to the termination date.
This obligation shall continue for an indefinite period after the Participant attends any Event as hosted by GFOIS.
Both Parties agree to keep all financial, commercial, and proprietary information arising from this collaboration confidential and not disclose such information to any third party without prior written consent, except as required by law.
This Agreement shall be governed by the laws of the United Arab Emirates, and any dispute shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
GFOIS is acting solely as an event organizer and facilitator of introductions and does not provide regulated financial advisory or brokerage services.
GFOIS does not negotiate terms, conditions, or any obligations between the Participant and any third party. Any investment, contracts, or income is done solely between the Participant and any third party. Nothing is done to induce any investment or participation in any of the Participants business dealings.
The Participant hereby waives any and all rights to claims including those found in Civil Law, Statute, or Common Law against GFOIS including their team, staff, and advisors. The entering into this Agreement is done on a purely discretionary basis and as a result reliance is placed on this waiver.
The Participant acknowledges and agrees that entering into this Agreement and attending the Event does not guarantee any deals, investment, or success. Any past success is not an indication of future success or the guarantee thereof.
Any dispute between the Parties shall be resolved by Arbitration undertaken within Dubai at the Dubai International Arbitration Center. Both Parties agree to be bound by the Arbitrators decision. The Arbitration body shall appoint one arbitrator, in English, to conduct proceedings. The terms and rules in force and effect at the time shall be used.
